These terms and conditions ("Terms") outline the rules and eligibility criteria for the Cristiano Ronaldo ForeverSkills collection (hereinafter the “ForeverSkills” Digital Collectibles) promotion (“Promotion”). By participating in the Promotion, participants (ForeverSkills NFT Holders and/or registered Binance users - collectively “Participants” or “Holders” upon purchase or receipt) agree to abide by these Terms.

1. Overview:  

Binance will release eight (8) Digital Collectibles  in celebration of its partnership with Cristiano Ronaldo (“CR7”) and his iconic footballing journey and skills. 

2. Eligibility:

Existing Binance users or new users who successfully complete and pass identity verification (“KYC”) will be eligible to purchase, or to win, a ForeverSkills Digital Collectible. Please note, the following users within the countries: 

A. Canada, Chile, British Indian Oceans, Cuba, Japan, Hong Kong, Iran, Malaysia, Mauritius, Nigeria, Netherlands, North Korea, St Helena & Dependencies, Singapore, Seychelles, Syria and the United States won’t be allowed to take part in the promotion due to regulations, sanctions or strict marketing environment. This includes also participating in the promotion. 

B. Be advised that users from the following listed countries will not be able to utilize Binance Pay to purchase items in ForeverSkills: American Samoa, Australia, Guam, Indonesia, North Korea, New Zealand, Northern Mariana Islands, Philippines, Puerto Rico, Thailand, Ukraine(Crimea Region incl. Donetsk, Luhansk, Zaporizhzhia and Kherson as well as the Crimea Peninsula), United States Minor Outlying Islands, UK, Vietnam, Virgin Islands (U.S.), and the United Arab Emirates.

3. Proof Of Skill:  Skill Duet Challenge on Tiktok and Instagram between December 1 to December 6

1. Selection Criteria: submitted Tiktok duets/Instagram Remix will be judged based on three criteria, which shall be valued equally: 

   1. Creativity (presenting the duet in an original and authentic way);

   2. Difficulty of skill (how easy the skill is replicable); and

   3. Execution (technique, timing, flair)

2. Selection Process: 

   1. Skill videos on Tiktok Duet and Instagram Remix between December 1 and December 6 will be eligible to be selected.

   2. 77 chosen winners and the final winner that will physically attend his masterclass will be determined using the selection criteria (set out in 3A above) on December 8, 2024.

   3. An email will be sent inviting the 77 winners to register for a Binance Account or to share their Binance UID via a survey link in order to receive the Proof Of Skill Digital Collectible via airdrop.

3. Media Release: 

   1. Rights to use video entry for use in connection with promoting, advertising and/or marketing the collection and the Binance X CR7 partnership, Digital collection and related community (collectively, “Contents”).  

4. Intellectual Property Release:

   1. By participating in the challenge, the Participant Grants to Company and its affiliates, successors and assigns,a worldwide, perpetual, right to use, publish, exhibit, display, adapt or modify the Contents the Participant is featured in for use in connection with the Promotion in any manner and in any form without further notice to the Participant.

   2. Warrants that the Participant is of full legal age and has the right to contract in their own name. The Participant has read the above authorisation, release and agreement prior to its execution and is fully familiar with and understand the contents of this release form, and agree to its terms voluntarily. This consent and release shall be binding upon the Participant, and their heirs, legal representatives and assigns.

5. Selection Chances:

   1. Odds of being selected as one of the 77 winners will depend on the total number of and quality of Tiktok duets/Instagram Remix received and the skill of each entrant. Cristiano Ronaldo will also be selecting the final winner that will be physically attending his masterclass with him (see the . This is a skill-based contest.

6. Indemnification:

   1. All participants hereby UNDERTAKE to indemnify and hold harmless the Company and the Third Parties from and against any and all losses, damages, claims, liabilities and expenses (including legal fees), suffered or incurred as a result of or in connection with the use of the Contents (including derivative works), by the Company and the Third Parties in accordance with this release form.

7. Privacy:

   1. By participating in the Promotion, participants acknowledge that Binance shall process your personal data for the purposes associated with the Promotion, in accordance with Binance’s Privacy Notice.

4. Merchandise & In-Person CR7 Meeting Giveaway

1. What Is the Giveaway? The merchandise giveaway rewards holders of Premium ForeverSkills Digital Collectibles with the chance to win one of 15 available prizes. These rewards act as benefits in addition to the full set of skills tutorials and Digital Masterclass online attendance offered by holding a Premium Digital Collectible.
   

2. When Is the Giveaway? A survey to enter the giveaway will be sent to Premium ForeverSkills Digital Collectors holders on December 23, 2024. It must be completed by December 27, 2024, by 23:59 (UTC) to secure your entry.
   
   The announcement of all winners will take place on December 30, 2024, by 23:59 (UTC).

3. How Do Users Enter and What Can They Win? Click to log in to or register for your Binance Account. Upon completing the identity verification (KYC) process, you’ll then be able to purchase a Premium Digital Collectible from December 12, 10:00 (UTC) to December 18, 23:59 (UTC) in the primary sale.

   
   The Quiz will start at 10:00 (UTC) on 23 December 2024 and run until 23:59 (UTC) on 27 December 2024. To be eligible to enter the Quiz, participants must have at least one (1) Premium NFT from the ForeverSkills collection in their Binance account during the snapshot taken at 23:59 (UTC) on December 18, 2024.

   
   By entering the competition, you represent that (a) you are not located in any of the Restricted Jurisdictions, (b) that you agree to these Official Terms and Conditions, and (c) that you agree to Binance’s decisions regarding the giveaway, which are final and binding. Winning a prize is contingent upon fulfilling all requirements. 

   
   All Premium Digital Collectible holders who wish to participate in the giveaway will need to complete our Quiz Mechanic. The Quiz Mechanic will be one (1) multiple-choice question centered on Cristiano Ronaldo’s footballing career and skills.

   
   Eligible Holders will receive an email from Binance with a link to the Quiz question on December 23, 2024. The Quiz Mechanic will yield fifteen (15) winners with the following prizes:

4. Shipping and distribution: Customs Costs for International Shipping of WHOOP and jerseys signed by Cristiano Ronaldo. These terms and conditions govern the potential customs costs associated with the international shipping of WHOOP and jerseys signed by Cristiano Ronaldo to destinations worldwide. By minting the collection from Binance, the holder agrees to adhere to these terms and conditions.

5. Holder Benefits (Utility)

Definitions:

Snapshot Date: The date and time that a snapshot of the blockchain and wallet data will be taken to determine who is eligible for each Utility based on holding the required ForeverSkills NFT at the required date and time.

Claiming: Holders will need to perform certain actions before they can receive their physical Utility (for example, signed WHOOP that will be mailed may require shipping, scheduling and/or coordination). The time limit within which holders must respond to Binance in order to claim and receive their physical benefits is 30 days. 

Redemption: A specific action and time limit required for Holders to be able to access or receive their benefits. 

ForeverSkills Benefits: 

1. Physical Attendance of CR7 Masterclass for one (1) of the 77x ‘Proof of Skill’ holders. One winner, picked by Cristiano Ronaldo and Binance from the 77 holders based on their skills, will receive a trip (premium economy flight and hotel accommodation provided) to physically meet Cristiano and engage in skill tricks with him during the Digital Masterclass in H1 2025. 

   1. NFT Required For Access: Proof Of Skill

   2. Final Snapshot Date: December 8, 2024 23:59:59 (UTC)

   3. Claim Process: The Holder must have their Proof Of Skill NFT in their Binance account at the time of the Final Snapshot Date during the period of the aforementioned snapshot. A shortlist will be taken of holders and their previously submitted Proof of Skills videos will be reviewed by Cristiano Ronaldo to pick a final winner. Note, this is a skill-based contest.

   4. Redemption Process: The selected winner will be notified on December 30, 23:59 (UTC). The winner will receive an email from Binance with a link and deadlines to submit their details. Holders must submit their details by January 30, 2025, 23:59:59 (UTC). Binance will contact the winner regarding travel and accommodation details via the email associated with the user's Binance profile.

2. Physical Attendance of CR7 Masterclass for one (1) Premium Digital Collectible holder. One randomly picked winner, picked by Cristiano Ronaldo from the 77 holders based on their skills, will receive a trip (premium economy flight and hotel accommodation provided) to physically meet Cristiano and engage in skill tricks with him during the LIVE Digital Masterclass in H1 2025.

3. Skill Video Tutorial: Holders will receive skill tutorial videos by Cristiano Ronaldo, showing how to perform the skill(s). Free NFT Holders will receive the three (3) free skills and Premium NFT Holders will receive all seven (7) skill tutorials.

   2. Snapshot Dates: December 18, 2024, 23:59:59 (UTC) 

   3. Claim Process: The Holder must have their ForeverSkills NFT in their Binance wallet at the time of the Final Snapshot Date during the period of the aforementioned snapshots. 

   4. Redemption Process: Holders will receive the link to the skill video tutorials corresponding to their NFTs via email by 23:59:59 (UTC) on December 19, 2024. 

4. Online Access to an Exclusive Digital Masterclass. This is a special-access, virtual session with Cristiano Ronaldo himself that is only accessible for Premium NFT Holders. 

   1. To access the video interview, Holders must first log into the CR7 ForeverZone and ensure their ForeverSkills NFT(s) are in their wallet. The video will be accessible exclusively through a token-gated feature for eligible NFT holders only.

6. Marketing Allocation

Binance will withhold some premium NFTs from ForeverSkills, for the purpose of rewarding previous drop holders and to run various promotions.

7. Risk Warning & Detailed Information 

Digital asset prices can be volatile. The value of any asset or investment may go down or up and you may not get back the amount initially paid. You are solely responsible for your purchase decisions and neither Binance, nor its partners, are liable for any losses you may incur. This is not financial advice. Promotion or endorsement of CR7 assets by Cristiano Ronaldo do not constitute promotion or endorsement of any other Binance assets.

8. General Terms and Conditions

General Conditions:

1. Binance reserves the right to modify, suspend, or terminate the promotion at any time without prior notice.

2. Participation in the promotion constitutes acceptance of these terms and conditions.

3. Binance's decisions regarding the promotion, including winner selection, are final and binding.

4. By participating in the promotion, users agree to abide by Binance's terms of service and privacy policy.

Legal Disclaimer:

1. Binance assumes no liability for any technical issues, disruptions, or discrepancies that may affect participation in the promotion or prize distribution.

2. Participation in the promotion is at the participant's own risk.

Complete Receiver Details:

1. Full Postal Address: Recipients should provide their complete postal address including their street number, building name if any, city, state/province, postal or zip code, and country. Any specific instructions for delivery like landmarks or specific entrances should also be noted down.

2. Contact Details: It's crucial that recipients provide a valid contact number and backup contact number if possible. Couriers often call ahead or require phone contact if they have trouble locating the address or need to reschedule the delivery for any reason.

3. Email Address: Recipients should provide an email address which can help to notify the status of delivery, any changes in delivery schedule, or if any further information is needed.

4. Preferred Delivery Times: If the delivery service allows for scheduling, recipients should include their preferred delivery window to optimize for successful delivery.

Customs Duties and Taxes:

1. Responsibility: The purchaser acknowledges that customs duties, taxes, and any other charges levied by customs authorities in the destination country are not included in the purchase price of the Utility.

2. Purchaser's Responsibility: It is the responsibility of the purchaser to pay any applicable customs duties, taxes, and charges imposed by the destination country's customs authorities upon importation of the vintage football shirt.

3. Variances: Customs duties and taxes vary by country and are subject to change without notice. Binance cannot predict or control these charges, and therefore cannot be held responsible for any discrepancies in such charges.

Declaration of Value:

1. Accurate Declaration: Binance will accurately declare the value of the WHOOPs or jerseys on the customs declaration form accompanying the shipment.

2. Assistance: Binance may, upon request, provide assistance or documentation required by customs authorities to facilitate the clearance process. However, Binance is not liable for any delays or issues arising from customs clearance procedures.

Refusal of Shipment:

1. Non-Payment of Customs Fees: In the event that the purchaser refuses to pay the customs duties, taxes, or any other charges imposed by the destination country's customs authorities, the shipment may be returned to Binance.

2. Refund Policy: If a shipment is returned due to the purchaser's refusal to pay customs fees, Binance reserves the right to deduct any return shipping costs, customs fees, and handling fees incurred from the refund amount.

3. Return Policy: If the recipient refuses the delivery or is not available to accept the delivery after 1 attempt, the shipment will be canceled.

Compliance with Laws:

1. Legal Compliance: The purchaser agrees to comply with all applicable laws and regulations of the destination country regarding the importation of goods, including but not limited to customs duties, taxes, and import restrictions.

2. Indemnification: The purchaser indemnifies and holds harmless Binance from any claims, damages, or liabilities arising from the purchaser's failure to comply with such laws and regulations.

Modification of Terms:

1. Right to Modify: Binance reserves the right to modify these terms and conditions at any time without prior notice. Any such modifications will be effective immediately upon posting on the Binance website or notification to the purchaser.

Governing Law:

1. Jurisdiction: Aside from where Applicable Law requires or provides you with a choice otherwise, these Terms shall be governed by, and construed in accordance with, the laws of Hong Kong.

2. By purchasing a Digital Collectible from Binance, the holder acknowledges that they have read, understood, and agreed to these terms and conditions regarding potential customs costs for international shipping.
