A Comissão de Valores Mobiliários (CVM) divulgou neste final de 2024 os seus planos para 2025, dentre os quais envolve um novo acompanhamento do setor de tokenização, ligado a criação de tokens em blockchain.
Este tema já constava no Plano Bienal SBR CVM 2023-2024, contudo, será renovado. Assim, o Plano Bienal SBR CVM 2025-2026 voltará a acompanhar o tema.
De acordo com apuração do Livecoins, a autarquia deixa claro que verificará “agentes não regulados (exchanges e tokenizadoras) que, por meios públicos, realizam ofertas e negociam valores mobiliários na forma de tokens em desacordo com as normas da CVM.”

CVM pode analisar corretoras envolvidas com tokenização em 2025 e 2026 por riscos de mercado
Ainda no material analisado pela reportagem, a Comissão de Valores Mobiliários indica quais as fontes de risco do mercado de tokens. Assim, “Assimetria informacional,
conflito de interesses e falha regulatória” estão entre as preocupações do regulador.
Na sessão de Mandatos Legais Impactados, a CVM destaca o “Desenvolvimento do mercado, eficiência e funcionamento do mercado, fiscalização e punição, proteção dos investidores e acesso à informação adequada“.

Por fim, na sessão de análise do nível de risco associado ao mercado, a pontuação das empresas de tokenização no Brasil alcançaram um nível de 128. De acordo com a CVM, a meta para os próximos dois anos envolve reduzir este nível.
O RISCO CVM Nº 1: MERCADO MARGINAL é um dos maiores níveis de risco, segundo estudo do regulador.

Em nota na última quinta-feira (26), João Pedro Nascimento, Presidente da CVM, destacou o plano bienal que pretende melhorar o mercado financeiro brasileiro.
“O Plano Bienal 2025-2026 consubstancia o propósito da Autarquia de tornar a Supervisão Baseada em Riscos mais eficiente e eficaz, incorporando as intensas e complexas mudanças do ambiente regulatório, a fim de que o mercado de valores mobiliários no Brasil continue a se desenvolver de forma sólida, íntegra e eficiente.”
CVM pode abrir consulta pública sobre tokens
Para a Agenda Regulatória 2025, a CVM já havia indicado a possibilidade de abrir novas consultas públicas junto ao mercado. E uma das previsões é a de se abrir uma consulta sobre “Revisão das Resoluções CVM 135 e 31 com foco em mercados menores e tokenização”.
Com isso, fica claro que o próprio mercado poderá contribuir com o regulador para mitigar riscos e ajudar a diminuir o nível atual. De qualquer forma, ainda não há data definida, e o mercado segue atento aos desdobramentos.
