Inscription Terms

A. Inscriptions

1. By creating Bitcoin network inscriptions using file uploads or text-based submissions on the Platform (“Inscriptions”) you acknowledge that you have read, understood and accepted all of the terms and conditions in these Inscription Terms, and you acknowledge and agree that you will be bound by and will comply with these Inscription Terms. If you do not understand and accept these Inscription Terms in their entirety, you should not create any Inscriptions.

B. How to create an Inscription

2. To produce an Inscription, you must add or upload your text-based submissions and/or media onto the Platform to prepare for the Inscription process. Due to technical constraints you agree that your uploaded media may be resized, compressed, or converted into compatible formatting for the Inscription. Further you agree that associated metadata may be stripped and removed for security purposes or any other reason deemed necessary by Binance.  

3. Subject to clause 15, your processed Inscription will be transferred to a receiving address you provide. You agree that you shall not provide an address that contravenes the Terms of Use, these Inscription Terms or any Applicable Laws. 

4. When you submit an Inscription request or otherwise initiate the Inscription process, you shall not be permitted to cancel the Inscription.

C.  Ordinals and Inscriptions

5. Ordinal theory and the resulting Inscriptions represent techniques that facilitate the identification, monitoring, and recording of pertinent information related to satoshis, the smallest unit of Bitcoin, on the Bitcoin ledger. The act of inscription imbues each satoshi with a distinct set of attributes, distinguishing it from other satoshis and rendering it non-fungible. 

6. Our Inscription process enables the generation of tailored ordinal marker annotations on your behalf. 

7. Once deployed onto the Bitcoin blockchain, these Inscriptions become immutable and irreversible. Consequently, you acknowledge and agree that the Inscriptions, once deployed, cannot be altered or deleted and you agree to take exclusive responsibility for the Inscription’s creation. 

8. Any Inscription created and submitted by you utilizing our services will be regarded as a Participant Contribution.

D.  Inscription fees

9. As provided, Binance provides you with the utility of creating your own Inscription. You will be charged a fee, which will be calculated and presented to you during the ordering process. You will be requested to transfer the fee to a third party wallet (or other designated wallet) in order to facilitate the Inscription process. Where applicable you shall pay the exact amounts set out, to the address provided by Binance, in accordance with the Binance instructions. Binance accepts no liability for failure to make payment of the fees to the correct Bitcoin address or otherwise in accordance with these Inscription Terms or any instructions otherwise made available to you, by Binance.

10. You will be charged a Bitcoin network fee when you transfer payment to the required wallet address. Due to competition for limited blockspace on the Bitcoin network this fee can vary and you may wish to wait until such time as the Bitcoin network is less busy. You agree that you may lose the portion of the Bitcoin network fee in the event that your transaction fails for any reason. Binance, its partners and/or affiliates, nor the Bitcoin network will be liable for or refund you in the event of such fees being lost or in the event that the Bitcoin network is congested. 

E. Rights and transfer

11. You shall retain exclusive ownership of your Inscription, as well as assume sole responsibility for matters relating to the legality, authenticity, display, implementation, promotion, support, and all associated liabilities. By using our Inscription process or any related services, you affirm that you possess legal ownership of any artwork or intellectual property associated with your Inscription and confirm that said Inscription does not infringe upon any copyrights or rights of other entities or individuals.

12. Please note that, during the creation process, our system temporarily administers your Inscription. Upon completion, control is promptly transferred to you. We disclaim any liability or responsibility for technical complications that may arise while the Inscription is under our administrative oversight.

13. You represent, warrant and agree that you shall not submit to our services any Participant Contributions or create any Inscriptions including or related to the following:

- Use of the Binance logo that has not been officially authorised by Binance.

- Unauthorized use of personal images (e.g., CZ, Elon Musk).

- Links to external websites and communities. Any promotion of external platforms cannot be included in the inscription.

- Content that is harmful, abusive, racially or ethnically offensive, sexually explicit, defamatory, or invasive of personal privacy rights.

- Content that contains any flags, party symbols, badges, or nazi symbols, as well as any relation to war, death, or massacre.

- Use of profanity or graphic language in any content.

- Copied from a third-party platform or gallery (e.g., Google, Baidu).

- Low-quality images with low resolution.

- Intellectual property rights infringement.

F. Ownership

14. Any Participant Contribution you submit to the platform or through our Inscription service shall be deemed non-confidential and non-proprietary. By providing any Participant Contribution on the platform or through our Inscription services, you grant Binance, its licensees, successors, and assigns a global, non-exclusive, sublicensable, and royalty-free limited license to utilize, display, distribute, and disclose your Participant Contribution to third parties (including, without limitation, for any advertising, marketing and/or commercial purposes). This may include (without limitation) for the limited purposes of offering, promoting, and enhancing our Binance services. You shall retain ownership and copyright of your Participant Contributions.

G. Compatibility with Bitcoin Addresses and Wallets

15. Ordinal theory and the resulting Inscriptions represent an emerging technology and are only compatible with specific Bitcoin addresses and wallet software. You are responsible for finding an appropriate address format and compatible wallet software. Be aware that there may be no readily accessible software options for viewing, managing, or transferring your Inscriptions. Upon creating your Inscription, Binance will transfer the inscribed satoshi's UTXO to the recipient address you provide. If you use or provide an incompatible address, lack access to appropriate wallet software, or lose access to the address's private key, you are at severe risk of never being able to trade or transfer the UTXO containing your Inscription. Binance does not ensure your ability to trade or transfer your Inscription (and the UTXO) after its transfer.

H. Refund Policy

16. Binance is under no obligation to offer you any refunds. Further, Binance will not be able to provide refunds once your Inscription transaction has been broadcast to the Bitcoin network. This automated procedure occurs promptly after receiving payment. 

I. No Endorsement

17. Inscriptions facilitated through our service are neither owned nor associated with Binance in any capacity. Although we collect service fees related to Inscriptions deployed using our Inscriptions service, this practice does not signify endorsement or support. Following deployment, we relinquish control over the unmodifiable Inscription templates.

J. Control and other markets

18. We reserve the unilateral and discretionary right to remove or restrict visibility of Inscriptions on our Binance Platform. This action may be taken for any rationale, including but not limited to, transgressions of our established guidelines, intellectual property rights infringement, or conflicts arising from legal disputes.

19. Binance explicitly acknowledges that it lacks both the capability and the inclination to impose limitations on your usage of Inscriptions across other websites, encompassing scenarios for personal utilization or on distinct marketplaces.

K. Placing a stop or suspension on, or cancellation of your access

20. Binance may stop, suspend or cancel your access to the Platform, impose limits to any Binance accounts, suspend or cancel your ability to participate in Inscriptions, or delay certain transactions where:

a. you do not provide additional information to verify your identity or source of funds as requested by Binance;

b. Binance is required to do so by court order, to comply with any Applicable Laws (including anti-money laundering or sanctions laws);

c. Binance is required to do so to comply with any direction or instruction from a government body or agency;

d. Binance reasonably determines that any information you have provided to Binance is wrong, untruthful, outdated or incomplete; or

e. you do not provide additional information that we request to our reasonable satisfaction or in a timely manner.

F. Account Information

21. We may be required under Applicable Law to share information about your accounts and use of the Platform with third parties. You acknowledge and agree that we are entitled to disclose such information.

G. Technology disclaimers

22. Binance may, from time to time, suspend access to the Platform, Binance services, for both scheduled and emergency maintenance. Binance will make reasonable efforts to ensure that transactions on the Platform are processed in a timely manner, but Binance makes no representations or warranties regarding the amount of time needed to complete processing, which is dependent upon many factors outside of our control.

23. Although Binance makes reasonable efforts to update the information on the Platform, we make no representations, warranties or guarantees, whether express or implied, that the content on the Platform, including information in relation to the Binance services, is accurate, complete or up to date.

24. You are responsible for obtaining the data network access necessary to use the Binance services. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Binance services, the Platform and any updates thereto. Binance does not guarantee that the Binance services, or any portion thereof, will function on any particular hardware or devices. Binance services may be subject to malfunctions and delays inherent in the use of the internet and electronic communications.

H. General Terms

25. All terms and references used in these terms and which are defined and construed in the Binance Terms of Use (the “Terms of Use”), but are not defined or construed in these terms, shall have the same meaning and construction in the Terms of Use.

26. These Inscription Terms are to be read together with the Terms of Use. In the event of any conflict or inconsistency between these terms and the Terms of Use, the order of precedence in which the documents are to be read is first these Inscription Terms, and then the Terms of Use.

27. Binance will contact you using the details you provide to Binance. This may include contacting you by email, SMS, or telephone. It is important that you ensure that your contact details are correct and up to date. If your contact details change, you must let us know immediately. If you do not, Binance will not be responsible if you do not receive information, notices, or other important information from Binance.

28. Binance may give notice by email to your email address. It is your responsibility to ensure that the email address is up to date and accurate. Notices may be given, and are deemed to be received, if sent to your email address, whether or not a notice of delivery failure is received.

29. You may give us notices only as Binance directs, which may change from time to time.

30. Any notices, consent, or other communication given under these must be in writing, in English, and signed or otherwise authorized by the party giving it.

31. For more information on Binance, you may refer to the company and license information found on Binance websites. If you have questions regarding these terms, please contact Binance for clarification via our Customer Support team.

32. Binance may provide some or all of the Inscription process and services through its partners and/or affiliates. 

I. Definitions

Applicable Law means all relevant or applicable statutes, laws (including rules of common law), principles of equity, rules, regulations, regulatory principles and requirements, notices, orders, writs, injunctions, judgements, bye-laws, rulings, directives, proclamations, circulars, mandatory codes of conduct, guidelines, practice notes and interpretations (whether of a governmental body, regulatory or other authority, or self-regulatory organization of which Binance is a member), that are applicable to the provision, receipt or use of the Binance services, or any other products or deliverables provided, used or received in connection with these terms.

Inscriptions has the meaning given to it in clause 1.

Inscription Terms means these terms & conditions.

Participant Contributions has the meaning given to it in clause 8.

Platform means the digital platform that Binance or any of the Binance Operators may make accessible to you via a website, mobile app, a Binance API or by such other means as Binance Operators may prescribe from time to time for the use of Binance services.

Terms of Use has the meaning given to it in clause 25.
