Binance Japan Auto Invest Terms & Conditions

A. Auto-Invest Instructions

1. You may use the Auto-Invest Service by agreeing to these Terms in advance. In addition, when you use the Auto-Invest Service, you may also use the Simple-Earn, Spot and Convert Services separately provided by Binance Japan. ("Binance Japan", “we”, “our” or “us”) or its affiliates. Moreover, you will agree to the terms and conditions applicable to these services before using the Auto-Invest Service.

2. In accordance with your Auto-Invest Instructions, Binance Japan will perform the following acts:

a. forward orders for the Auto-Invest Transaction to its affiliate in accordance with the plan you specify pursuant to Paragraph 11 (“Specified Plan”) ;

b. deduct the Auto-Invest Fees from your Spot Account, except as otherwise provided in these Terms; and

c. if you wish to purchase Auto-Invest Assets with legal tender, convert the legal tender into Crypto Assets through the Convert (Sales Office) Services when executing an Auto-Invest Transaction.

3. Crypto Assets or legal tender held in your Spot Account will be used to acquire Auto-Invest Assets in accordance with your Auto-Invest Instructions.

4. Your Auto-Invest Instructions shall be in effect until amended or cancelled by you in accordance with the manner set out in these Terms.

B. Auto-Invest Transactions

5. Unless otherwise specified by Binance Japan, the Auto-Invest Service will procure Auto-Invest Assets through the Convert (Sales Office) Services; i.e., Auto-Invest Transactions will be executed with the procurement of Auto-Invest Assets from Binance Liquidity Pools, managed by Binance. However, if a Convert Market Order is not effectuated within a reasonable time after it is placed, the Auto-Invest Transaction will not be executed.

6. If the Crypto Assets or legal tender you hold in your Spot Account are insufficient to cover the quantity of Crypto Assets or legal tender required to complete your Auto-Invest Transaction, Binance Japan will not execute all or part of the Auto-Invest Transaction. However, your unexecuted Auto-Invest Instructions shall continue to be in effect and Binance Japan will attempt to execute them on the next Auto-Invest Date separately specified by you, in accordance with such Auto-Invest Instructions. 

C. Fees

7. Auto-Invest Fees are the amount and percentage shown in the Auto-Invest Transaction summary and history. They are charged in the Crypto Assets or legal tender used for the Auto-Invest Transaction. Binance Japan may change its Auto-Invest Fees at any time and will notify you of such change on the page displaying the Auto-Invest Transaction summary and history.

8. Other than the Auto-Invest Fees, Binance Japan will not charge you any fees for Swaps resulting from an Auto-Invest Transaction. In addition, you will not receive any rebates, rewards or other benefits from any Swaps resulting from an Auto-Invest Transaction.

D. Auto-Invest Record

9. Binance Japan will create an Auto-Invest Record for each Auto-Invest Transaction you make.

E. Crypto Assets purchased with Auto-Invest

10. The Auto-Invest Assets you purchase under these Terms will be held in your Spot Account.

F. Specified Plan

11. In your Specified Plan, you will determine the following:

a. the type of Auto-Invest Assets you have instructed Binance Japan to acquire;

b. the Spot Account to use for Auto-Invest Assets transactions;

c. the frequency of acquiring Auto-Invest Assets; and

d. the quantity of Auto-Invest Assets to acquire on each Auto-Invest Date.

12. You may cancel your Auto-Invest Instructions or change your Specified Plan, at any time before the Auto-Invest Date. To make the cancellation or change, please follow the instructions on the Platform.

G. Cancellation, suspension or termination of your access to the Auto-Invest Service

13. Binance Japan may cancel, suspend or disable your access to the Platform, impose restrictions on your account with Binance Japan, suspend or cancel your eligibility for the Auto-Invest Service, or delay certain Auto-Invest Transactions if:

a. you fail to provide additional information to verify your identity or the source of your funds as requested by Binance Japan;

b. Binance Japan is required to do so in order to comply with any Laws and Regulations (including anti-money laundering or sanctions laws) by court order;

c. Binance Japan is required to do so in order to comply with instructions or orders from a government body or agency;

d. Binance Japan reasonably determines that any information you have provided to Binance Japanis wrong, untruthful, outdated or incomplete;

e. you fail to provide additional information requested by Binance Japan in a reasonably satisfactory and timely manner; or

f. there is any other violation of these Terms or the Terms of Use.

H. Account information and transaction records

14. You may view your account history on the Platform. You shall review your account history carefully and notify Binance Japan as soon as possible, but within 14 days after the date when your account history is made available to you, if you find any entries or transactions that you do not recognize or that you believe to be incorrect.

15. Binance Japan may correct any errors in your account history at any time, and reserves the right to void or cancel any transaction:

a. involving or resulting from a manifest error, which can be any obvious or palpable error, omission or misreporting (including any misreporting by ourrepresentative in light of the current market and currently published quotes, or any error of information, source of information, official, official result or pronouncement, whether the error is made by Binance Japan or any third party); or

b. in order to reflect what Binance Japan reasonably considers to be accurate or fair details of the transaction.

16. Binance Japan might be required by Applicable Law to share information about your accounts and use of the Platform with third parties. You acknowledge and agree that Binance Japan may disclose such information.

I. Technology disclaimers

17. Binance Japan may, from time to time, suspend your access to the Platform and our services, for scheduled and emergency maintenance. Binance Japan will make reasonable efforts to ensure that transactions on the Platform are processed in a timely manner. However, Binance Japan makes no representations or warranties as to the time required to complete processing, which depends on many factors beyond our control.

18. Binance Japan will make reasonable efforts to update the information on the Platform. However, Binance Japan makes no representations or warranties that the content on the Platform, including information about our services, is accurate, complete or current.

19. You are responsible for obtaining the data network access necessary to use our services. You are responsible for obtaining and updating the compatible hardware or devices necessary to access and use our services, the Platform and any updates thereto. Binance Japan does not warrant that our services, or any portion thereof, will function on any particular hardware or devices. Our services might be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

J. General terms

20. Words and phrases used in these Terms and defined and construed in Our Terms of Use (the “Terms of Use”) but not defined or construed herein shall have the same meaning and construction as in the Terms of Use.

21. These Terms shall be read together with the Terms of Use. In the event of any conflict or inconsistency between these Terms and the Terms of Use, these Terms shall prevail.

22. Binance Japan will contact you using the information you provide to it. This may include email, SMS or telephone. It is important that you make sure that your contact information is accurate and current. You will immediately notify Binance Japan of any change in your contact information. If Binance Japan does not receive such notice, Binance Japan shall not be liable for your failure to receive any information, notice or other important announcements from it, unless such failure is due to our willful misconduct or negligence.

23. Binance Japan may send various notices by email to your email address. It is your responsibility to ensure that your email address is current and accurate. Such notices may be given whether or not a notice of transmission error has been received, and will be deemed to have been received if sent to your email address.

24. You may contact Binance Japan only by the method designated by Binance Japan, which may be changed from time to time.

25. Any notice, consent or other communication given under these Terms shall be in writing or in the form of electromagnetic records, in English and signed or otherwise accepted by the party giving such notice, consent or other communication.

K. Portfolio Matching Services

27. Binance Japan may offer you Portfolio Matching Services in accordance with the provisions of this Chapter.

28. If you choose to use the Portfolio Matching Services, you might be required to include the following information in your Specified Plan:

a. the Binance Index or Preset Portfolio that you would like to Replicate;

b. the frequency of acquiring Auto-Invest Portfolio Assets;

c. the purchase amount of Auto-Invest Portfolio Assets that will be acquired; and

d. if you choose to Replicate a Binance Index, the quantity of Crypto Assets held in your Auto-Invest Index-Linked Account that will be the subject of Rebalance, and the frequency that such Rebalance will be executed.

29. Binance Indexes may change from time to time. Binance Japan does not recommend Replicating any Binance Index or Preset Portfolio.

30. Binance Japan may cease offering the Portfolio Matching Services for particular Preset Portfolios or Binance Indexes. If your Specified Plan refers to a Binance Index or Preset Portfolio that is no longer offered, your Auto-Invest Instructions will be cancelled, and Rebalancing will cease.

L. Defined Terms

“Laws and Regulations” means all relevant statutes, laws (including rules of common law), principles of equity, rules, regulations, regulatory principles and requirements, notices, orders, writs, injunctions, judgments, bye-laws, rulings, directives, proclamations, circulars, mandatory codes of conduct, guidelines, practice notes and interpretations (whether of a governmental body, regulatory or other authority, or self-regulatory organization of which Binance Japan is a member), that are applicable to the provision, receipt or use of our services, or any other products or deliverables provided, used or received in connection with these Terms or the Terms of Use.

“Auto-Invest Service” means our service identified as “Auto-Invest” on the Platform, allowing you to give Binance Japan your Auto-Invest Instructions in accordance with these Terms.

“Auto-Invest Record” means a record of Crypto Assets acquired in accordance with these Terms.

“Auto-Invest Assets” means a Crypto Asset that you will acquire or acquired through Auto-Invest in accordance with these Terms.

“Auto-Invest Date” means the date and time on which an Auto-Invest Transaction takes place. 

“Auto-Invest Fees” means the fees charged by Binance Japan when undertaking an Auto-Invest Transaction.

“Auto-Invest Instructions” means the instructions you give to Binance Japan to execute transactions in accordance with the Specified Plan pursuant to Paragraph 2.

“Auto-Invest Portfolio Assets” means Crypto Assets that you acquire to Replicate a Preset Portfolio or Binance Index.

“Auto-Invest Transaction” means a transaction, and any subsequent transactions, undertaken by Binance Japan in accordance with your Specified Plan.

“Binance” means an affiliate of Binance Japan, as intermediary for Auto-Invest orders.

“Binance Index” means a Crypto Asset portfolio published on the Platform and updated from time to time.

“Binance Liquidity Pools” means a pool of Crypto Assets that Binance uses to execute orders for Auto-Invest Transactions.

“Replicate” means undertaking all necessary Auto-Invest Transactions so that the composition of the Crypto Assets acquired matches, as closely as possible, the composition of a Binance Index or Preset Portfolio.

“Convert Market Order” has the meaning defined in the Pre-Contract Document.

“Platform” means the digital platform that Binance Japan or any of the Binance Operators may make accessible to you via a website, mobile app, a Binance API or by such other means as Binance Operators may prescribe from time to time for the use of Company’s services.

“Portfolio Matching Services” means our service where you instruct Binance Japan to acquire Auto-Invest Portfolio Assets in accordance with your Specified Plan and these Terms.

“Preset Portfolio” means a portfolio of Crypto Assets as described by Binance Japan on the Platform. 

“Rebalance” means undertaking all necessary Auto-Invest Transaction so that the Crypto Assets held by you match, as near as possible, the composition of a Binance Index. Auto-Invest Transaction sources their Crypto Assets by Spot Trading. “Rebalancing” shall be interpreted accordingly. 

“Specified Plan” means as defined in Paragraph 12, a. herein.

“Spot Account” means the our account that you use for spot transactions

“Swaps” means trading one Crypto Asset for another from a Binance Liquidity Pool.
