According to official news from ChainCatcher, the OpenAI board of directors is evaluating the company structure with the goal of establishing a stronger non-profit organization supported by a for-profit company. OpenAI said that this plan will create one of the most resource-rich non-profit organizations in history.

OpenAI believes that the company structure must evolve to advance its mission, which is to ensure that artificial general intelligence (AGI) benefits all of humanity. Specifically, OpenAI's three major goals include:

  1. Choose a nonprofit/for-profit structure that best supports the long-term success of the mission; make the nonprofit sustainable;

  2. Enable each department to play its due role.

OpenAI plans to convert the existing for-profit company into a Delaware Public Benefit Corporation (PBC) and transfer the majority of shares to a non-profit organization at a reasonable valuation determined by an independent financial advisor. This will significantly increase the resources of the non-profit organization. The PBC structure requires the company to balance the interests of shareholders, stakeholders, and the public interest in its decision-making. This will enable OpenAI to raise the required capital on conventional terms, while the non-profit organization can operate independently and focus on charitable causes such as health care, education, and science.
