1. Introduction
The Kotlyar Foundation (“Foundation”) is committed to supporting charitable organizations that align with its mission to promote social welfare, education, health, and community development. These Terms and Conditions (“Terms”) govern the grant awards provided by the Foundation to eligible charitable organizations (“Grantee”). By accepting a grant from the Foundation, the Grantee agrees to comply with these Terms. The State in which the Grantee is registered provides guarantees to the Foundation for the grant provided.
2. Eligibility Criteria
To be eligible for a grant, the organization must:
Be a registered charitable organization in good standing in its jurisdiction.
Operate on a non-profit basis with a mission that aligns with the Foundation goals.
Demonstrate a history of effective program implementation and financial responsibility.
Submit a complete and accurate grant application, including all required supporting documentation.
3. Use of Grant Funds
3.1. Purpose
Grants must be used exclusively for the purposes outlined in the approved grant proposal. Any significant changes to the use of funds must receive prior written approval from the Foundation.
3.2. Restricted and Unrestricted Funds
The grant may be awarded as either restricted or unrestricted funds. Restricted funds must be used for specific projects or activities as detailed in the grant agreement. Unrestricted funds may be used at the discretion of the Grantee, provided they further the charitable purposes of the organization.
3.3. Prohibited Uses
Grant funds may not be used for:
Political campaigns, lobbying, or other activities intended to influence legislation.
Payments to individuals other than as part of the charitable activities of the organization.
Any illegal activities or activities that would jeopardize the Foundation tax-exempt status.
4. Reporting Requirements
4.1. Interim and Final Reports
The Grantee is required to submit interim and final reports as outlined in the grant agreement. Reports should include a detailed accounting of how the grant funds were spent, the outcomes achieved, and any challenges encountered.
4.2. Financial Documentation
The Grantee must maintain accurate and complete financial records of the grant funds received. The Foundation reserves the right to request copies of these records at any time.
4.3. Audit Rights
The Foundation may, at its discretion, audit the Grantee use of grant funds. The Grantee agrees to cooperate fully with any such audit and to provide access to all relevant financial records and documentation.
5. Compliance with Laws
The Grantee agrees to comply with all applicable local, state, and federal laws and regulations. This includes but is not limited to, maintaining its tax-exempt status, adhering to non-discrimination policies, and ensuring that all funded activities are conducted lawfully.
6. Publicity and Acknowledgment
6.1. Use of Foundation Name
The Grantee may use the Foundation name in public communications related to the grant, subject to the Foundation prior written approval. All such communications must accurately represent the nature of the grant and the Foundation role.
6.2. Public Reports
The Foundation may publicly disclose the grant award, including the Grantee name, the amount of the grant, and the purpose for which it was awarded. The Grantee agrees to this disclosure as part of the grant acceptance.
7. Termination and Repayment
7.1. Termination for Cause
The Foundation reserves the right to terminate the grant at any time if the Grantee fails to comply with these Terms, misuses funds, or engages in any activities that may harm the Foundation reputation.
7.2. Repayment of Funds
If the grant is terminated for cause or if funds are not used in accordance with these Terms, the Grantee may be required to repay all or part of the grant funds to the Foundation.
8. Intellectual Property
Any intellectual property developed using the grant funds remains the property of the Grantee. However, the Foundation shall have a non-exclusive, royalty-free license to use any reports, materials, or other deliverables produced with grant funds for its own charitable purposes.
9. Indemnification
The Grantee agrees to indemnify, defend, and hold harmless the Foundation, its directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, or expenses arising out of or related to the grant or the Grantee use of the funds.
10. Entire Agreement
These Terms, together with the grant agreement and any other documents expressly incorporated by reference, constitute the entire agreement between the Foundation and the Grantee regarding the grant. No modification or waiver of any provision of these Terms shall be valid unless in writing and signed by both parties.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the Supreme Court of the Grantee country.
